BUYER & SELLER GUIDES

Buying Property in Abu Dhabi Through a Company: Personal Name, Mainland or ADGM?

For most private buyers, owning Abu Dhabi property in their own name is simpler and keeps rent and gains outside UAE tax. A company or ADGM vehicle, such as an SPV or foundation, can suit joint ventures, larger portfolios or succession planning, but it brings 9% corporate tax above AED 375,000, annual costs and harder mortgages.

Can a company buy property in Abu Dhabi?

Yes, within the same limits that apply to individuals. In Abu Dhabi’s investment zones, Law No. 19 of 2005 as amended by Law No. 13 of 2019 lets non-UAE nationals and foreign companies hold freehold and other real estate rights. Outside those zones, freehold is generally reserved for UAE nationals and entities they own, and foreign-owned companies are limited to long-term rights such as musataha and usufruct. Since 2019, qualifying ADGM entities, including special purpose vehicles (SPVs), foundations and real estate funds, have also been able to take title to Abu Dhabi property under an agreement between the ADGM Registration Authority and the then Department of Urban Planning and Municipalities (Mondaq, 2019). Onshore ownership restrictions still apply to them, so the zone and plot matter as much as the vehicle. Check tenure first with our freehold areas guide.

What does corporate tax mean for company-owned property?

Under Cabinet Decision No. 49 of 2023, an individual’s real estate investment income that does not require a licence is not a business activity for UAE corporate tax, so rent and gains in your own name are untaxed in the UAE. A company is different: its taxable income is taxed at 0% up to AED 375,000 and 9% above that, and it must register, keep accounts and file returns. A non-resident company that earns income from UAE property also has a taxable nexus in the UAE under Cabinet Decision No. 35 of 2025 and must register. Your home country may tax you as well, whichever structure you use. Our property tax guide has the detail; confirm your own position with a tax adviser.

Can a company get a mortgage on Abu Dhabi property?

Some banks lend to companies, but it is commercial lending rather than a standard home loan: expect lower loan-to-value, more documents (licence, constitutional documents, accounts, board resolutions) and often a personal guarantee from the shareholders. Many retail mortgage products are open only to individuals. If you need high leverage, buying personally is usually easier; our mortgage guide sets out the limits for residents and non-residents.

Does company-owned property qualify for the Golden Visa?

The real estate investor route to the 10-year Abu Dhabi Golden Visa asks for property worth at least AED 2,000,000 owned by the applicant, and ICP guidance reported by Gulf News (2025) says the property must be fully owned by the applicant. Neither the ADDED page nor the ICP guidance we reviewed covers property held through a company. There is a separate investor route based on capital invested in an Abu Dhabi company. If the visa matters, confirm the treatment of your structure with the Abu Dhabi Residents Office before you buy. Our Golden Visa guide covers the personal route.

How does a company register a purchase on DARI?

The steps match a personal purchase: agree terms, sign the sale agreement, obtain any developer NOC and register the transfer on DARI, paying the 2% registration fee. The company typically also provides its trade licence or certificate of incorporation, constitutional documents, a board or shareholder resolution approving the purchase and naming the signatory, and the signatory’s ID; documents from abroad usually need legalisation. On Al Reem and Al Maryah Islands, registration runs through the ADGM Registration Authority. Allow extra time for bank and registry checks on who ultimately owns the company.

When does buying through a company make sense?

A structure tends to earn its cost when several people or families invest together, when a portfolio is large enough that a single owning entity simplifies management and sale, when the property is part of a business, or when succession planning favours holding shares or a foundation over individual title. It rarely makes sense for a single home or a first investment unit, where it adds tax filings, fees and mortgage friction without a clear benefit. Do not assume that selling the company’s shares avoids the transfer process or fees: transfers of shares in ADGM property-holding vehicles are monitored for compliance with Abu Dhabi rules, so take advice before relying on it. For succession questions, see our inheritance and wills guide.

Frequently asked questions

Can a foreign company buy property in Abu Dhabi?

Yes, in Abu Dhabi’s investment zones, where Law No. 19 of 2005 as amended in 2019 allows foreign companies to own freehold. Outside the zones, foreign-owned companies are generally limited to rights such as musataha or usufruct.

Can an ADGM SPV own property in Abu Dhabi?

Qualifying ADGM entities, including SPVs, foundations and real estate funds, have been able to hold title to Abu Dhabi property since a 2019 agreement between the ADGM Registration Authority and the Abu Dhabi municipality. Onshore ownership restrictions, such as investment-zone rules, still apply.

Is it better to buy Abu Dhabi property personally or through a company?

For most individuals, personally: rent and gains on investment property are outside UAE tax and mortgages are easier. A company can suit joint ventures, larger portfolios or succession planning, but it brings 9% corporate tax above AED 375,000 and annual costs.

Do companies pay tax on rental income in Abu Dhabi?

Yes. A company’s taxable income, including rent and gains, is taxed under UAE corporate tax at 0% up to AED 375,000 and 9% above it. Non-resident companies with UAE property income must register under Cabinet Decision No. 35 of 2025.

Can I get a Golden Visa if my company owns the property?

It is not straightforward. The real estate route requires property owned by the applicant, and the official guidance we reviewed does not cover company ownership. Confirm your structure with the Abu Dhabi Residents Office before buying.

Is the registration fee different for a company?

No. A company buying through DARI pays the same 2% registration fee as an individual, plus any developer and mortgage fees. Company purchases typically need extra documents, such as a licence and a board resolution.
